These Terms govern your access to and use of the Zams platform, software, websites, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
If you or your organization has entered into a separately signed agreement with Zams, the terms of that signed agreement shall govern and control to the extent there is any conflict with these Terms.
1. The Zams Platform
Zams provides access to a hosted software platform designed to enable the creation, deployment, and orchestration of autonomous artificial intelligence agents. These agents may perform a variety of functions depending on the capabilities of the platform and the specific configuration selected by each user. The Services may include, without limitation, knowledge assistants, task automation agents, and agents capable of reasoning-based outputs. Subject to compliance with these Terms, Zams grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business operations during the term of your active subscription.
2. User Responsibilities
You agree to use the Services in accordance with all applicable laws and regulations. You are solely responsible for maintaining the confidentiality and security of your login credentials and for all activity conducted under your account. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform, nor shall you attempt to copy, resell, sublicense, or otherwise misuse the Services. You further agree not to upload or process any data subject to special regulatory protections, such as personal health information or financial account data, without our prior written consent.
3. Your Data
You retain all rights, title, and interest in and to any data, prompts, configurations, or outputs that you input into or generate using the Services ("Customer Data"). Zams does not claim ownership of such data. Zams will only use Customer Data to provide, support, and improve the Services, and will not use such data to train proprietary or third-party artificial intelligence models or systems. Customer Data will never be shared across customer accounts or used to benefit other users. Zams may, however, analyze aggregated and de-identified data to improve the functionality and performance of the platform, provided such data cannot reasonably be linked back to any individual user or organization.
4. Support
All users of the Zams platform are entitled to access our AI-powered chat support system, which is available through the platform interface. The specific support services and response times available to each user may vary depending on the applicable subscription plan.
5. Intellectual Property
As between you and Zams, you retain ownership over the business logic, configurations, prompts, and workflows you create using the Services. Zams retains all rights, title, and interest in and to the platform and its underlying technologies, including all software, algorithms, interfaces, and any enhancements, updates, or derivative works thereof. Any feedback, suggestions, or improvements you choose to provide may be freely used by Zams without restriction or compensation.
6. Publicity
Unless otherwise agreed in writing, you grant Zams the right to use your name, logo, and a general description of your use case in our marketing and promotional materials. Any sensitive or confidential information will be subject to your prior written approval. These rights will continue indefinitely for any materials created during the period in which you had an active subscription.
7. Confidentiality
Each party agrees to maintain the confidentiality of all non-public information disclosed by the other party that is designated as confidential or that should reasonably be understood to be confidential under the circumstances. Confidential information does not include information that becomes publicly known through no fault of the receiving party, is already known without restriction, or is independently developed without use of the disclosing party's information.
8. Indemnity
Zams agrees to defend and indemnify you against third-party claims that the Services, as provided and used in accordance with these Terms, infringe upon any intellectual property rights. You agree to defend and indemnify Zams from any third-party claims relating to your use of the Services, including any content you upload or actions you take that violate these Terms or applicable law.
9. Limitation of Liability
To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or business interruption. Except for indemnity obligations or breaches involving confidentiality, the total cumulative liability of either party shall not exceed the amount paid to Zams in the twelve (12) months preceding the event giving rise to the claim.
10. Data Security and Privacy
Zams employs industry-standard administrative, physical, and technical safeguards to protect the security, confidentiality, and integrity of Customer Data. These safeguards include practices aligned with SOC 2 Type II, and compliance with applicable privacy regulations including the GDPR, CCPA, and HIPAA, where relevant. Zams restricts access to Customer Data to authorized personnel on a need-to-know basis and maintains audit logs of such access. Upon termination of your subscription or upon request, Zams will delete or return Customer Data in accordance with our data retention policies, except for a legally required archival copy.
11. Service Availability
Zams makes commercially reasonable efforts to ensure high availability and performance of the platform, with system monitoring conducted year-round. Scheduled maintenance may occur from time to time outside peak business hours, with advance notice provided where feasible. In the event of a large-scale disruption, Zams maintains a disaster recovery protocol designed to restore services within commercially reasonable timeframes.
12. Termination
Your access to the Services begins when you activate your subscription and continues for the duration of the subscription term unless terminated earlier in accordance with these Terms. You may terminate your subscription at any time, subject to the terms of your agreement. Zams may suspend or terminate your access to the Services for material breach of these Terms, with prior notice and a reasonable opportunity to cure.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of law principles. Any legal proceedings arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware.
14. Modifications
We reserve the right to modify these Terms at any time. If changes are material, we will provide notice via the platform or through other reasonable means. Your continued use of the Services following any updates constitutes acceptance of the revised Terms.
